AGREEMENT BETWEEN USER AND Skills Converged

The Skills Converged Web Site is comprised of various Web pages operated by Skills Converged.

These terms and conditions apply to Services provided by Skills Converged Ltd.

The Skills Converged Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Skills Converged Web Site constitutes your agreement to all such terms, conditions, and notices.

THE SERVICE 

We will provide the Products and Services with reasonable care and skill in accordance with the description set out on the Website.

We reserve the right to vary or withdraw any of the Services described on the website without notice.

We expect you to confirm that the Services you are purchasing will meet your needs. We do not make any guarantee to you that you will obtain a particular result, professional qualification or employment opportunity from your purchase and completion of any of the Services (except where explicitly stated).

COACHING SERVICE

If you are purchasing a coaching product, please review the coaching terms & conditions in addition to the terms here for the online services provided.

ACCOUNT CREATION

In order to purchase an Online Course you must register for an account with us via the website. If you already have an account with us you can log into your account using your user name and password.

CANCELLATION 

If you have purchased an Online Course and have already used, accessed, downloaded all or part of the Online Course and/or started to use that Online Course then you shall have no right to cancel your order.

INTELLECTUAL PROPERTY

All Intellectual Property Rights in the Online Courses and associated Training Materials remain the intellectual property of Skills Converged, whether adapted, written for or customised for the Client or not.

You are not authorised to:

• Copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Training Materials without prior written permission;
• Record on video or audio tape, relay by videophone or other means the Online Course provided
• Use the Training Materials in the provision of any other course or training whether given by us or any third-party trainer;
• Remove any copyright or other notice of Skills Converged on the Training Materials;
• Modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Courses.
• Breach by you of this clause shall allow us to immediately terminate these terms and conditions with you and cease to provide you with any Product or Services, including but not limited to access to the Online Courses we offer.
• In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive licence to use the Training Materials and the software in respect of the Online Course for the sole purpose of completing the Online Course.

DATA PROTECTION

The nature of the Services provided by us means that we will obtain, use and disclose (together "Use") certain information about you ("Data"). This statement sets out the principles governing our Use of Data. By purchasing the Services you agree to its Use.

When you register with us you will need to provide certain Data such as your contact details and demographic information. We will store this Data and use it to contact you, provide you with details of the Services you have purchased and otherwise as required during the normal provision of the course.

We may also use the above Data, and similar Data you provide us in response to surveys, to aggregate user profiles and, unless you click on the relevant button on the Registration Form, provide you with communications. We will not pass any personal data onto anyone outside of Skills Converged.

To enable us to monitor and improve our Services, we gather certain aggregated information about you, including details of your operating system, browser version, domain name and IP address, the URL you came from and go to and the parts of the website you visit.

We use information such as your User ID, session identifiers and password to enable us to identify whether you are using our services, assist with the provision of services and to ensure that you have access to relevant products. We will only read cookies from your cookie file placed there through your web browser's interaction with the website.

Our products may link to third party websites and we are not responsible for their data policies or procedures or their content.

Skills Converged endeavours to take all reasonable steps to protect your personal Data including the use of encryption technology, but cannot guarantee the security of any Data you disclose. You accept the inherent security implications of being and transacting on-line over the internet and will not hold us responsible for any breach of security.

Skill Converged may supplement the information that you provide with information we receive from third parties, such as exam registration bodies or your employer.

Skills Converged reserves the right to change the terms, conditions, and notices under which the Skills Converged Web Site is offered, including but not limited to the charges associated with the use of the Skills Converged Web Site.

The Skills Converged Web Site may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of Skills Converged and Skills Converged is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Skills Converged is not responsible for webcasting or any other form of transmission received from any Linked Site. Skills Converged is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Skills Converged of the site or any association with its operators.

As a condition of your use of the Skills Converged Web Site, you warrant to Skills Converged that you will not use the Skills Converged Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Skills Converged Web Site in any manner which could damage, disable, overburden, or impair the Skills Converged Web Site or interfere with any other party's use and enjoyment of the Skills Converged Web Site. Skills Converged has no obligation to monitor the Communication Services. However, Skills Converged reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Skills Converged reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Skills Converged reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Skills Converged's sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Skills Converged does not control or endorse the content, messages or information found in any Communication Service and, therefore, Skills Converged specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Skills Converged spokespersons, and their views do not necessarily reflect those of Skills Converged.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

TERMINATION/ACCESS RESTRICTION

Skills Converged will continue to provide access to purchased online courses so long as it continues to provide this service and subject to availability from third party hosting services. 

Skills Converged reserves the right, in its sole discretion, to terminate your access to the Skills Converged Web Site and the related services or any portion thereof at any time, without notice.

To the maximum extent permitted by law, this agreement is governed by the laws of United Kingdom and you hereby consent to the exclusive jurisdiction and venue of courts in England and Wales in all disputes arising out of or relating to the use of the Skills Converged Web Site. Use of the Skills Converged Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Skills Converged as a result of this agreement or use of the Skills Converged Web Site. Skills Converged's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Skills Converged's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Skills Converged Web Site or information provided to or gathered by Skills Converged with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Skills Converged with respect to the Skills Converged Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Skills Converged with respect to the Skills Converged Web Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.
